Acceptance of Terms

By accessing, browsing, or using the Sites in any manner — including by reading content, submitting an enquiry, or following a hyperlink — you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all applicable laws and regulations of India.

If you are accessing the Sites on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and these Terms shall apply to that organisation accordingly.

These Terms are effective as of the date first set out above. Your continued use of the Sites after the posting of any amendment to these Terms constitutes acceptance of such amendment.

Definitions

Use of the Sites

The Sites are provided solely for the purpose of providing information about the Company and its Verticals, and to facilitate enquiries from prospective clients, partners, and interested parties.

Permitted Use

• Accessing and browsing the Sites for their intended informational purpose
• Contacting the Company through the published contact channels
• Sharing links to the Sites through lawful means

Prohibited Conduct

You agree not to engage in any of the following activities, each of which constitutes a breach of these Terms and may constitute an offence under the IT Act, the Indian Penal Code, or other applicable law:

• Using the Sites for any unlawful purpose or in a manner that violates any applicable Indian or international law or regulation
• Attempting to gain unauthorised access to any portion of the Sites, the servers on which the Sites are hosted, or any database connected to the Sites — an offence under Section 43 and Section 66 of the IT Act
• Transmitting any malicious code, virus, Trojan horse, worm, spyware, or other harmful software — an offence under Section 66 of the IT Act
• Scraping, crawling, or extracting data from the Sites by automated means without the express written consent of the Company
• Reproducing, distributing, or creating derivative works from any Content without the Company's express written permission
• Impersonating the Company, any of its personnel, or any other person in a manner that is false or misleading
• Attempting to disrupt, interfere with, or damage the Sites or the servers or networks on which they are hosted
• Using the Sites to transmit unsolicited commercial communications

Intellectual Property

All Content on the Sites — including, without limitation, all text, graphics, logos (including the VRIP7, Kanopus, and Sileru logos and wordmarks), designs, photographs, software, and the compilation and arrangement thereof — is the exclusive property of VRIP7 Private Limited or its licensors, and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable Indian intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Sites and their Content solely for personal, non-commercial informational purposes. This licence does not include the right to:

• Copy, reproduce, download, or store any Content beyond ordinary browser caching
• Publish, distribute, transmit, or sublicense any Content to any third party
• Create derivative works from any Content
• Use any Content for commercial purposes without the Company's express prior written consent
• Remove or alter any copyright, trademark, or proprietary notice from any Content

Any use of the Sites or Content beyond the limited licence granted above is strictly prohibited and constitutes an infringement of the Company's intellectual property rights.

Disclaimers

The Sites and all Content are provided on an "as is" and "as available" basis, without warranty of any kind, express or implied, to the fullest extent permissible under applicable Indian law.

No Professional Advice

The Content on the Sites is provided for general informational purposes only. Nothing on the Sites constitutes legal advice, financial advice, investment advice, tax advice, technical advice, or any other form of professional advice. The Company is not liable for any reliance placed on any Content by any User. Professional advice from a qualified professional should always be sought for specific situations.

Accuracy

While the Company endeavours to ensure that information on the Sites is accurate and up to date, the Company makes no representation or warranty as to the accuracy, completeness, or currency of any Content. The Company reserves the right to correct any errors or omissions and to change or update information at any time without prior notice.

Availability

The Company does not warrant that the Sites will be available at all times or that access will be uninterrupted or error-free. The Company reserves the right to suspend, restrict, or terminate access to the Sites or any part thereof at any time without notice.

Investment and Capital Disclosures

References on the Sileru vertical's website to strategic investing activities refer solely to the deployment of VRIP7 Private Limited's own capital. Sileru is not a registered investment advisor, portfolio manager, stock broker, or collective investment scheme under the Securities and Exchange Board of India Act, 1992 or any regulations thereunder. Nothing on the Sileru website constitutes an offer to manage third-party assets or an invitation to invest.

Limitation of Liability

To the fullest extent permitted by applicable Indian law, the Company, its directors, officers, employees, agents, and successors shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with:

• Your access to or use of, or inability to access or use, the Sites
• Any reliance placed on any Content on the Sites
• Any unauthorised access to or use of the Company's servers or any personal data stored therein
• Any interruption or cessation of transmission to or from the Sites
• Any bugs, viruses, Trojan horses, or the like which may be transmitted to or through the Sites by any third party
• Any errors or omissions in any Content

Nothing in these Terms shall operate to exclude or limit any liability that cannot be excluded or limited under applicable Indian law, including liability arising from gross negligence, wilful misconduct, or fraud.

Indemnification

You agree to defend, indemnify, and hold harmless VRIP7 Private Limited, its directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, costs, penalties, fines, and expenses (including reasonable legal fees) arising out of or relating to:

• Your breach of any provision of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third party's rights, including intellectual property rights
• Any Content you submit or transmit through the Sites

Third-Party Websites

The Sites may contain hyperlinks to websites operated by third parties. Such links are provided for your convenience only. The Company has no control over the content of those websites and accepts no responsibility for them or for any loss or damage that may arise from your use of them. The inclusion of a link to a third-party website does not imply the Company's endorsement of that website or its content.

When you leave our Sites via a hyperlink, you should be aware that these Terms no longer apply and the terms and privacy policies of the linked website will govern your use of that website.

Governing Law & Dispute Resolution

These Terms of Use, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India.

The parties shall first attempt to resolve any dispute through good-faith negotiation. If negotiation fails within 30 days of written notice, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended by the Arbitration and Conciliation (Amendment) Act, 2021. The seat of arbitration shall be Ujjain, Madhya Pradesh, India. The language of arbitration shall be English. The number of arbitrators shall be one, to be appointed by agreement of the parties.

Notwithstanding the foregoing, the Company reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction, including the courts at Ujjain and Indore, in respect of any actual or threatened infringement of its intellectual property rights.

Changes to These Terms

The Company reserves the right to modify, amend, or replace these Terms at any time by posting the revised Terms on this page with an updated effective date. It is your responsibility to review these Terms periodically for changes. Your continued use of the Sites following the posting of any changes constitutes acceptance of those changes.

If you do not agree to the amended Terms, your sole remedy is to cease using the Sites.
